MemeSwap Referral Program — Terms, Notices and Disclosures

These documents apply to anyone who shares a MemeSwap referral link ("Referrer"), anyone who installs MemeSwap through one ("Referee"), and anyone who accepts a reward. By ticking "I agree to the referral terms", by signing the acceptance message with your wallet, or by accepting a reward, you agree to them. If you do not agree, do not use the program.

1. Referral Program Terms

  1. The program is always available; rewards are not. Referral links, invitations and referral history exist at all times. Rewards are offered only while a reward campaign is active. When no campaign is active we say so wherever a link is created or shared. Referrals made while no campaign is active earn nothing, then or later.
  2. Eligibility. You must be 18 or older, a resident of an eligible region (currently the United States unless the campaign says otherwise), not a person or entity subject to U.S. sanctions, and not an employee, contractor or agent of Agentic Labs LLC or their household members. One person, one wallet, one device.
  3. What counts as a qualified referral. A referral qualifies only when the Referee (a) installs MemeSwap through your link and agrees to these terms, (b) creates or imports a wallet, (c) completes a first swap on MemeSwap of at least the minimum value stated in the campaign (default US $10) and (d) that swap remains in place through the hold period stated in the campaign (default 48 hours). Installs alone never qualify.
  4. Reward amount and form. Rewards are stated as "up to US $X in ETH (value varies)". The reward is paid in ETH on Robinhood Chain to the wallet address you used to accept these terms; the ETH amount is fixed at the time of payment using our reference price, and its value can change afterwards. We never pay in fiat currency.
  5. Caps. Each campaign has a per-person cap, a daily cap and a total budget. Across all campaigns in a calendar year we will not pay any one person or device more than US $599 in total. A campaign ends automatically when its escrow budget is exhausted; pending referrals that qualify after that point earn nothing.
  6. Hold and review. Every qualified referral is held for the campaign's hold period and may be reviewed. Referrals that show signs of fraud, self-referral, automation, shared devices, wallet clusters, sanctioned addresses or other abuse are rejected and forfeited, and the accounts involved may be excluded from all future campaigns. Our determination is final.
  7. Accepting a reward. Before any payment you must confirm each reward in the app by signing an acceptance message with your wallet. A reward not accepted within 30 days expires and returns to the campaign budget.
  8. Self-custody. MemeSwap is non-custodial. We pay to the address you control; we cannot reverse, recover or reissue a payment sent to that address.
  9. Changes and termination. We may change amounts, eligibility, qualification rules or these terms, or pause or end a campaign or the program, at any time. Changes apply to referrals that qualify after the change. A new version of these terms must be accepted before new rewards are paid.
  10. Not a sweepstakes or lottery. A qualifying swap is required; there is no purchase-free entry and no element of chance in whether a reward is earned.
  11. Sharing responsibly. Do not spam, misrepresent MemeSwap or the reward, imply guaranteed returns, or target people under 18. Share only where the platform's rules allow referral links.
  12. Disputes. Contact [email protected] within 60 days of the disputed event. These terms are governed by the laws of the State of Texas, USA.

2. Reward Tax Notice

Referral rewards are income to the person who receives them and may be taxable. You are responsible for reporting rewards to your tax authority. We cap total rewards per person per calendar year below US $600, but we may still ask you to provide a Form W-9 or equivalent information, and we may withhold or refuse payment where a law requires it. The value of a reward for tax purposes is its U.S. dollar value at the time we send it, which we record with the transaction hash.

3. Crypto Risk Disclosure

ETH and every other cryptocurrency can lose value quickly, including to zero. Rewards are paid in ETH; their dollar value will change after payment. Transactions on public blockchains are irreversible, require network fees ("gas"), and can fail or be delayed. Wallet keys are yours alone; if you lose them you lose the funds. MemeSwap does not provide financial, investment, tax or legal advice. Nothing in the program is a recommendation to buy, sell or hold any asset.

4. Program Privacy Notice

To run the program and prevent fraud we store: your wallet address(es); a hashed form of the IP address and browser identifier used when a link is clicked or a claim is made; an Apple App Attest key identifier and DeviceCheck state for your device; the referral code, click identifier, timestamps and terms version; transaction hashes for qualifying swaps and payments; and your signed acceptance messages. We keep these records for 24 months after the last activity, or longer where a payment record must be retained for tax or dispute reasons. We do not sell this data. We share it only with service providers that run our infrastructure and with authorities where the law requires. Contact [email protected] to ask about your data.

5. No Financial Advice

MemeSwap is software for swapping tokens you choose. The referral program rewards inviting friends; it does not endorse any token, predict any price, or guarantee any outcome. Meme coins are highly volatile. Always do your own research.

The acceptance message you sign reads: MemeSwap referral terms v1 accepted <timestamp> and, for each reward, the confirmation the app shows: MemeSwap referral payout <id>: accept up to $<amount> in <asset> to <your address> at <timestamp>; I confirm I am 18+, a US resident, and that this is taxable income (The earlier short form MemeSwap reward <id> accepted <timestamp> remains valid for rewards accepted before this wording.)
